This presentation will outline the many steps that a company should take to best prepare for a corporate due diligence review from both the buyer/investor/licensee and seller/licensor perspective. The discussion will focus on how a company can proactively position itself to cover the many corporate areas that will be reviewed and investigated. From the seller perspective, the presentation will outline what a company can do to best present the value of its assets, including its intellectual property and research and development activities. From a buyer perspective, the discussion will focus on the critical corporate areas that require investigation to mitigate downstream risk post-transaction closure. A checklist that can be used as a guide when either preparing for or undertaking a due diligence review will be shared with all participants.
